The Mosaic (“Mosaic”, “we,” “us,” or “our”) is a nonprofit organization that provides a platform and community for families practicing independent meaningful learning (also known as self-directed learning). Mosaic provides resources and events to support these families’ learning journey. These Terms of Use (“Terms”) govern your use of our website located at www.weareborntolearn.org and all related websites and applications, along with all features, widgets, plug-ins, applications, content, downloads and other services that we own and control and make available through the platform, and/or that post or link to these Terms (collectively, the “Platform”), regardless of how you access or use it, whether via computer, mobile device or otherwise. The terms “you,” “your,” “user” and “users” throughout these Terms refer to all persons, whether you are an individual or an entity, accessing or using the Platform (including without limitation registered and unregistered users) for any reason.

Each time you access and/or use the Platform (other than to simply read these Terms), you agree to be bound by and comply with these Terms then posted. Therefore, do not use the Platform if you do not agree to be bound by the Terms.

In addition, by using the Platform, you acknowledge, accept, and agree to the Privacy Policy, which is incorporated into these Terms by this reference, and consent to the collection and use of your data in accordance with the Privacy Policy.

Eligibility

The Platform may not be used by anyone under the age of 18 without the supervision of a parent or legal guardian who agrees to be bound by these Terms. You represent and warrant that you are at least 18 years of age (or the age of legal majority under applicable law), or, if not, that you have reviewed these Terms with your parent or legal guardian who has agreed to be bound by these Terms on your behalf.

Content Ownership and Limited License

The Platform (including past, present, and future versions), and any content provided on the Platform, including without limitation, any data, graphics, images, pictures, and videos (collectively, “Content”), together with all right, title, and interest therein and thereto, are owned or controlled by Mosaic and our licensors and certain other third parties, and are protected by United States and international copyright, trademark, trade dress, patent, and/or other intellectual property and unfair competition rights and laws to the fullest extent possible. Mosaic owns the copyright in the selection, compilation, assembly, arrangement, and enhancement of the Content.

Subject to your strict compliance with these Terms, Mosaic grants you a limited, non-exclusive, revocable, non-assignable, personal, and non-transferable license to access and use the Platform and Content (excluding source and object code in raw form or otherwise, other than as made available to access and use to enable display and functionality) for your individual use only. The foregoing limited license (i) does not give you any ownership of, or any other intellectual property interest in, any Content, and (ii) may be immediately suspended or terminated for any reason, in our sole discretion, and without advance notice or liability.

Use Restrictions

You agree that you will not: (i) use the Platform for any political or commercial purpose without our permission; (ii) use any meta tags or any other “hidden text” utilizing any trademarks; (iii) engage in any

activities through or in connection with the Platform that seek to attempt to or do harm any individuals or entities or are deceptive, offensive, obscene, lewd, lascivious, filthy, violent, threatening, harassing, or abusive, or that violate any right of any third party, or are otherwise objectionable to Mosaic; (iv) use the Platform in a way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries); (v) use the Platform for the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise (vi) reverse engineer, decompile, disassemble, reverse assemble, or modify any source or object code or any software or other products, services, or processes accessible through any portion of the Platform; (vii) engage in any activity that interferes with a user’s access to the Platform or the proper operation of the Platform, or otherwise causes harm to the Platform, Mosaic, or other users of the Platform; (viii) interfere with or circumvent any security feature of the Platform or any feature that restricts or enforces limitations on use of or access to the Platform or the Content; (ix) harvest or otherwise collect or store any information (including personally identifiable information about other users of the Platform, including e-mail addresses, without the express consent of such users); (x) disable, overburden, damage, or impair the site; (xi) introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful to the Platform; (xii) attempt to gain unauthorized access to, damage, or disrupt the Platform, other computer systems or networks connected to the Platform; (xiii) Attack the Platform via a denial-of-service attack or a distributed denial-of-service attack; or (xiv) otherwise violate these Terms.

You also agree that, in using the Platform: (i) you will not monitor, gather, copy, scrape, or distribute the Platform or Content (except as may be a result of standard search engine activity or use of a standard browser) on the Platform by using any robot, rover, “bot”, spider, scraper, crawler, spyware, engine, device, software, extraction tool, or any other automatic device, utility, or manual process of any kind; (ii) you will not frame or utilize framing techniques to cause the Platform or portions of it to be displayed on, or appear to be displayed by, any other site (including any images, text, or page layout); (iii) you will keep intact all trademark, copyright, and other intellectual property notices contained in the Content; (iv) you will not use the Content in a manner that suggests an unauthorized association with any of our or our licensors’ products, services, or brands; (v) you will not make any modifications to the Content; (vi) you will not copy, modify, reproduce, archive, sell, lease, rent, exchange, create derivative works from, publish by hard copy or electronic means, publicly perform, display, disseminate, distribute, broadcast, retransmit, circulate or transfer to any third party or on any third-party application or website, or otherwise use or exploit the Platform or the Content in any way for any purpose except as specifically permitted by these Terms or with the prior written consent of an officer of Mosaic or, in the case of Content from a licensor, the owner of the Content; and (vii) you will not insert any code or product to manipulate the Platform or Content in any way that adversely affects any user experience.

We may immediately suspend or terminate the availability of the Platform and Content (and any elements and features of them), in whole or in part, for any reason, in our sole discretion, and without advance notice or liability.

These Terms include only narrow, limited grants of rights to use and access the Platform and Content. No right or license may be construed, under any legal theory, by implication, estoppel, industry custom, or otherwise. All rights not expressly granted to you are reserved by Mosaic and its licensors and other third parties. Any unauthorized use of any Content or the Platform for any purpose is prohibited.

Membership Terms

Fees and Payment

Your access to and use of certain features and services on the Platform (the “Membership Services”) shall be contingent upon your payment of the applicable membership fees as described on the Platform or in a separate agreement at the time you sign-up (“Fees”).

Upon registering for Membership Services you will be required to designate a valid payment method. You hereby authorize us, through our third-party partner Paya, to charge to your designated account all Fees relating to the Membership Services you select, and you agree to pay all such Fees in accordance with the applicable payment method terms and conditions.

Continuous membership

The Membership Services are renewed automatically. You hereby authorize us to charge membership Fees for the renewal period to the payment method on file. All memberships are renewed at the membership level(s) and Fees in effect at the time the then-current membership term ends.

Membership Cancellation and Refund Policy

You may cancel your membership at any time, so long as it is 30 days prior to the end of a renewal period; however, if you cancel during a membership period, you will not receive a refund for any amounts that have been charged for that membership period. Your cancellation will be effective at the end of your then-current membership period, subject to applicable law, and you may use the Membership Services until your cancellation is effective (unless your access is suspended or terminated as set forth in these terms).

We may deny you access to all or any part of the Membership Services or terminate your account with or without prior notice if you engage in any conduct or activities that we determine, in our sole discretion, violate these Terms, any other agreement you entered into with us, our rights, the rights of any third party, or is otherwise inappropriate.

Upon termination of your account(s) for any reason, your right to use the Membership Services is also terminated. All provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

Accessing the Platform and Account Security

We reserve the right to remove or change the Platform, and any service or material we provide on the Platform, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Platform is unavailable at any time or for any period. From time to time, we may restrict user access, including registered user access, to some parts of the Platform or the entire Platform.

You are responsible for making all arrangements necessary for you to have access to the Platform and ensuring that all persons who access the Platform through your internet connection are aware of these Terms and comply with them.

To access the Platform or some of the resources it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of the Platform that all the information you provide on the Platform is correct, current, and complete. Anytime there is a change in the information you have provided on the Platform, you agree to update us on such change. You agree that all information you provide to register with this Platform or otherwise, including, but not limited to, through the use of any interactive features on the Platform, is governed by our Privacy Policy and you consent to all actions we take with respect to your information consistent with our Privacy Policy.

If you choose, or are provided with, a username, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to this Platform or portions of it using your username, password, or other security information. You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.

We have the right to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms.

Trademarks

Our name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Mosaic or our affiliates or licensors. You must not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Platform are the trademarks of their respective owners.

User Contributions

The Platform may contain profiles, forums, bulletin boards, feeds and other interactive features (collectively, “Interactive Services”) that allow users to post, submit, publish, display, or transmit to other users or other persons (hereinafter, “post”) content or materials (collectively, “User Contributions”) on or through the Platform.

Any User Contribution you post to the site will be considered non-confidential and non-proprietary. By providing any User Contribution on the Platform, you grant us and our affiliates and service providers the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose in connection with providing the Platform.

You represent and warrant that you own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our affiliates and service providers. You also represent and warrant that all of your User Contributions do and will comply with these Terms.

You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not Mosaic, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness. We are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other user of the Website.

Monitoring and Enforcement of User Contributions

YOU WAIVE AND HOLD HARMLESS THE COMPANY AND ITS AFFILIATES AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

However, we cannot review all material before it is posted on the Platform and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

Content Standards

These content standards apply to any and all User Contributions and use of Interactive Services. User Contributions must in their entirety comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Contributions must not (collectively, the “Content Standards”):

Copyright Infringement

If you believe that any User Contributions violate your copyright, please send us a notice of copyright infringement to hello@weareborntolearn.org. It is the policy of Mosaic to terminate the user accounts of repeat infringers.

Reliance on Information Posted

The information presented on or through the Platform is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other user of the Platform, or by anyone who may be informed of any of its contents.

This Platform may include content provided by third parties. All statements and/or opinions expressed in these materials, and all articles and responses to questions and other content, other than the content provided by Mosaic, are solely the opinions and the responsibility of the person or entity providing those materials. These materials do not necessarily reflect the opinion of Mosaic. We are not responsible, or liable to you or any third party, for the content or accuracy of any materials provided by any third parties.

We may update the Content from time to time, but the Content is not necessarily complete or up-to-date. Any of the material on the Platform may be out of date at any given time, and we are under no obligation to update such material.

Feedback

If you provide feedback, ideas, or suggestions regarding the Platform (“Feedback”), you acknowledge that such Feedback is not confidential, and you authorize Mosaic to use such Feedback without restriction and without payment to you.

Third-Party Sites

The Platform may contain third party plug-ins and/or applications, and/or links to third-party websites or social media platforms, none of which are owned, controlled or operated by Mosaic (collectively, “Third–Party Sites”), and the Platform may also include links to or from such Third-Party Sites, including websites operated by licensors, licensees, content partners, sponsors, and certain other third parties who may have business relationships with Mosaic. Mosaic has no control over the content, operations, policies, terms, or other elements of Third-Party Sites, and Mosaic does not assume any obligation to review any Third-Party Sites. Mosaic does not necessarily endorse, approve, or sponsor any Third-Party Sites, or any third-party content, information, materials, products, services, or other items. Furthermore, Mosaic will under no circumstances be liable for any direct, indirect, incidental or special loss or other damage, whether arising from negligence, breach of contract, defamation, infringement of copyright or other intellectual property rights, caused by the exhibition, distribution or exploitation of any information or content contained within these Third-Party Sites.

If you decide to access any of the Third-Party Sites linked to this Platform, you do so entirely at your own risk and subject to the terms and conditions of use for such websites. You should be aware that Third-Party Sites may contain rules and regulations, privacy provisions, confidentiality provisions, transmission of personal data provisions, and other provisions that differ from the provisions provided on the Platform. Mosaic is not responsible for such provisions, and expressly disclaims any and all liability related to such provisions.

Linking to the Platform

You may link to the Platform, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part without our written consent. We may disable all or any links at any time without notice in our discretion.

Mosaic prohibits caching, unauthorized hypertext links to the Platform and the framing of any Content available through the Platform. We reserve the right to disable any unauthorized links or frames and specifically disclaims any responsibility for the content available on any other websites or digital properties linked to the Platform. Access to any other websites linked to the Platform is at the user’s own risk.

Disclaimer of Warranties

You understand that we cannot and do not guarantee or warrant that the Platform, Content, or any files available for downloading from the internet or the Platform will be free of viruses, ransomware, or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our site for any reconstruction of any lost data. TO THE FULLEST EXTENT PROVIDED BY LAW, WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES, RANSOMWARE, MALWARE, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE PLATFORM OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM OR YOUR DOWNLOADING OF ANY MATERIAL POSTED ON IT, OR ON ANY WEBSITE LINKED TO IT.

YOUR USE OF THE PLATFORM, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM IS AT YOUR OWN RISK. THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Limitation of Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL MOSAIC, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE PLATFORM, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE PLATFORM OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF

GOODWILL, AND LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Indemnification

You agree to defend, indemnify, and hold harmless Mosaic, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of any information obtained from the Platform. We reserve the right to control the defense of any claim by a third-party for which we are entitled to indemnification, and you agree to provide us with such cooperation as is reasonably requested by us.

Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

Governing Law

All matters relating to the Platform and Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the Commonwealth of Pennsylvania without giving effect to any choice or conflict of law provision or rule (whether of the Commonwealth of Pennsylvania or any other jurisdiction).

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Platform shall be instituted exclusively in the federal courts of the United States located in the Commonwealth of Pennsylvania or the courts of the Commonwealth of Pennsylvania, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms of Use in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Notices

You agree that: (i) we may give you notices of new, revised or changed terms and other important matters by prominently posting notice on the home page of the Platform, or in another reasonable manner; and (ii) we may contact you by mail or e-mail sent to the address provided by you. You agree to promptly notify us if you change your e-mail or mailing address.

Updates to Terms

We may change and update these Terms from time to time in our sole discretion. If we do, we will provide notice of any changes or updates, such as by posting the most recent version on the Platform and updating the “Last Updated” date above. You can view the latest draft of the Term by clicking the “Terms of Use” link at the bottom of each webpage on the Platform. You should check for updates regularly. Your

continued use of the Platform following any notice we provide will confirm that you have agreed to the updated Terms. You can reject the revised Terms by discontinuing use of the Platform.

Operation of Service; International Issues

Mosaic controls and operates the Platform from its offices located in the United States, and Mosaic makes no representation that the Platform is appropriate or available for use beyond the United States. If you use the Platform from other locations, you are doing so on your own initiative and are responsible for compliance with applicable local laws regarding your online conduct and acceptable content, if and to the extent local laws apply. The Platform may describe programs and services that are available only in the United States (or only parts of it) and are not available worldwide. We reserve the right to limit the availability of the Platform and/or the provision of any content, program, service, or other feature described or available on the Platform to any person, entity, geographic area, or jurisdiction, at any time and in our sole discretion, and to limit the quantities of any content, program, product, service, or other feature that we provide.

General

If any provision of these Terms is for any reason deemed invalid, unlawful, void, or unenforceable by a court or arbitrator of competent jurisdiction, then that provision will be deemed severable from these Terms, and the invalidity of the provision will not affect the validity or enforceability of the remainder of these Terms (which will remain in full force and effect). To the extent permitted by applicable law, you agree to waive, and you hereby waive, any applicable statutory and common law that may permit a contract to be construed against its drafter. No waiver by Mosaic of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Mosaic to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. These Terms and our Privacy constitute the sole and entire agreement between you and Mosaic regarding the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Platform. You may not assign or transfer any rights or obligations under these Terms of Use without Mosaic’s prior written consent. We may, without restriction, assign any of our rights and obligations under these Terms, at our sole discretion. Headings are used in these Terms for reference only and will not be considered when interpreting them.
